This Affiliate Agreement (“Agreement”) governs your participation in the Idolfluence Affiliate Program (“Program”) operated by Conversion Diagnostics LLC, DBA Idolfluence (“Company,” “we,” “our”).
By registering as an affiliate, you agree to be bound by this Agreement.
1. Enrollment
We reserve the right to approve or reject any applicant for any reason.
You must provide accurate information and maintain an active payment method for commissions.
2. Commissions
2.1 Commission Structure
Affiliates earn commissions according to the payout rates displayed on the affiliate dashboard or as communicated by the Company.
2.2 Qualified Sales
Commissions are earned only on:
Valid purchases
Non-refunded transactions
Sales tracked via your affiliate link
Self-purchases generally do not qualify unless explicitly allowed.
2.3 Payout Schedule
Commissions are paid:
After a holding period (typically 14–30 days)
Via the payment method you provide
Once minimum payout thresholds are met
We may withhold or adjust payments for suspected fraud, chargebacks, or violations.
3. Affiliate Obligations
You agree NOT to:
Use SPAM, unsolicited messages, or misleading advertising
Make false income claims or misrepresent the Company
Run paid ads bidding on Idolfluence or Company trademarks
Cookie-stuff or manipulate tracking
Use the Program for fraudulent or abusive behavior
Affiliates who violate rules may be terminated and forfeit commissions.
4. Promotional Materials
We may provide banners, images, copy, and brand assets. You must:
Use approved branding
Not alter assets in a deceptive or misleading way
Comply with all FTC disclosure requirements (e.g., “I may earn a commission…”)
You are solely responsible for your marketing practices.
5. Earnings Disclaimer
You acknowledge:
No earnings are guaranteed
Your success depends on your effort, traffic quality, and audience
The Company makes no financial promises or claims
Affiliates must not promise income results to their audience.
6. Term & Termination
We may terminate your affiliate status at any time for:
Violation of this Agreement
Fraud
Harmful or unethical marketing
Brand damage
You may quit the Program anytime.
Unpaid commissions may be forfeited if terms were violated.
7. Intellectual Property
You may use approved trademarks and materials solely for promoting the Program.
All rights remain with the Company.
8. Independent Contractor
Affiliates are independent contractors—not employees, partners, or agents.
You are responsible for your own taxes and compliance.
9. Limitation of Liability
We are not liable for:
Lost profits
Indirect, incidental, or consequential damages
Our total liability will never exceed the amount paid to you in the last 12 months.
10. Governing Law
This Agreement is governed by Ohio law.
All disputes shall be resolved in Ohio courts.
11. Changes to the Program
We may modify:
Commission rates
Program policies
Terms of this Agreement
Continued participation constitutes acceptance.
